Welcome to LIHONG. The terms “LIHONG,” “we,” “us,” and “our” refer to LIHONG.

LIHONG operates this website and related services, including the information, content, tools, product information, quotation services, inquiry forms and other features made available through this website (collectively, the “Services”). Our website is hosted and supported by Shopify.

These Terms of Service (“Terms”), together with any policies referenced herein, govern your access to and use of the Services.

Please read these Terms carefully. By accessing, browsing, using or interacting with the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you should not use the Services.

1. Access and Account Information

2. Products and Product Information

LIHONG manufactures and supplies stainless steel products and related products for business customers, including brands, importers, distributors, retailers and other commercial buyers.

We make reasonable efforts to present product information accurately. However, product colors, dimensions, finishes, packaging, materials, specifications and appearance may vary from images, samples or digital displays.

Product specifications, materials, designs, packaging and availability may be modified or discontinued without prior notice.

Unless otherwise agreed in writing, website content, images and descriptions are provided for general reference only and do not constitute binding production specifications.

Final product specifications will be determined by the applicable quotation, sample approval, purchase order, specification sheet, contract or other written agreement between LIHONG and the customer.

3. Quotations and Orders

Submitting an inquiry, quotation request or purchase request does not by itself create a binding contract.

A commercial transaction becomes binding only after LIHONG accepts the applicable purchase order, quotation, pro forma invoice, sales contract or other written agreement.

Quotations may be subject to:

• minimum order quantities;
• product specifications;
• material requirements;
• tooling requirements;
• customization requirements;
• packaging requirements;
• payment terms;
• production lead times;
• shipping terms; and
• quotation validity periods.

LIHONG reserves the right to accept or reject any order or quotation request.

Changes requested after order confirmation may result in additional costs, revised lead times or both.

4. Pricing and Payment

Prices shown on this website, if any, are for reference only unless expressly identified as a binding offer.

Final pricing may depend on order quantity, materials, specifications, customization, packaging, tooling, shipping terms and other commercial requirements.

Unless otherwise agreed in writing, prices may exclude taxes, duties, freight, insurance, customs charges, import fees and other related costs.

Payment terms will be specified in the applicable quotation, pro forma invoice, purchase order confirmation or sales contract.

Customers are responsible for providing accurate billing, payment and transaction information.

5. Samples, Tooling and Custom Development

LIHONG may provide product development, sampling, tooling, logo customization, packaging customization and OEM/ODM services.

Fees for samples, molds, tooling, design work, packaging development and other customization services may apply.

Unless otherwise agreed in writing:

• sample approval applies only to the approved sample and documented specifications;
• production tolerances consistent with standard manufacturing practices may apply;
• changes requested after sample or tooling approval may result in additional charges; and
• tooling ownership and tooling usage rights will be determined by the applicable written commercial agreement.

6. Production and Lead Times

Production and delivery timelines are estimates unless expressly guaranteed in writing.

Lead times may be affected by factors including raw material availability, order changes, sample approvals, tooling development, production capacity, shipping conditions, customs procedures and events outside LIHONG’s reasonable control.

LIHONG will make commercially reasonable efforts to meet agreed production schedules but does not guarantee timelines unless expressly stated in writing.

7. Shipping and Delivery

Shipping terms, delivery arrangements, freight responsibilities, insurance and transfer of risk will be determined by the applicable quotation, purchase order, sales contract and agreed Incoterms®, where applicable.

Estimated shipping and delivery times are not guaranteed.

LIHONG is not responsible for delays caused by carriers, freight forwarders, customs authorities, port congestion, government actions, force majeure events or other circumstances outside our reasonable control.

8. Inspection and Quality

LIHONG may conduct quality inspections during production and prior to shipment in accordance with applicable specifications and internal quality procedures.

Customers are responsible for reviewing and approving samples, specifications, artwork, packaging and other applicable production requirements before mass production where approval is requested.

Any claims regarding shortages, damage, defects or non-conformity should be submitted within the period specified in the applicable contract, purchase order, quotation or other written agreement.

9. Returns, Claims and Remedies

Because many LIHONG products may be manufactured, customized or packaged according to customer requirements, returns and refunds are not governed by standard consumer retail return practices.

Return, replacement, credit, refund or other remedies will be determined by the applicable sales agreement, quotation, purchase order terms and the circumstances of the claim.

Customized products generally may not be returned solely because the customer changes its commercial requirements after production.

Nothing in this section limits any rights that cannot lawfully be excluded.

10. Intellectual Property

All content made available through the Services, including text, trademarks, logos, product images, graphics, videos, designs, layouts and other materials, is owned by LIHONG, its affiliates, licensors or applicable rights holders and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publish, commercially exploit or create derivative works from our website content without prior written permission, except as permitted by law.

LIHONG names, logos, product names and related branding may not be used without authorization.

Customer trademarks, logos, artwork or other intellectual property supplied to LIHONG for authorized manufacturing or customization remain the property of their respective owners.

Customers represent that they have the legal right to provide any trademarks, designs, artwork or intellectual property submitted to LIHONG for manufacturing or customization.

11. Confidential and Business Information

During inquiries, quotations, product development or commercial cooperation, either party may provide non-public business, technical or commercial information.

Where appropriate, confidentiality obligations may be governed by a separate non-disclosure agreement or commercial contract.

Nothing on this website creates confidentiality obligations unless expressly agreed in writing.

12. Third-Party Tools and Services

The Services may provide access to features, tools or services operated by third parties.

Such third-party services may be provided on an “as available” basis and may be subject to separate terms and privacy policies.

LIHONG is not responsible for third-party services outside our control.

Our website is hosted by Shopify.

Shopify provides technology that enables us to operate portions of the Services. However, transactions, quotations and commercial relationships with LIHONG are between you and LIHONG unless otherwise expressly stated.

Shopify is not responsible for LIHONG’s products, manufacturing, quotations, commercial agreements, deliveries or other transactions between LIHONG and its customers.

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Shopify may also process certain personal information in connection with hosting and supporting our website.

16. Feedback

• your violation of these Terms;
• your unlawful use of the Services;
• your infringement of third-party rights; or
• intellectual property, artwork, trademarks or materials supplied by you for customization or manufacturing where you lack the required rights or authorization.

22. Force Majeure

LIHONG will not be responsible for failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, epidemics, war, government actions, labor disputes, transportation interruptions, port congestion, utility failures, supply shortages or similar events.

23. Severability

If any provision of these Terms is determined to be invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

24. Entire Agreement and Waiver

These Terms, together with policies and any applicable written commercial agreements, constitute the agreement governing use of the Services.

Failure by LIHONG to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

For specific commercial transactions, the applicable quotation, purchase order, pro forma invoice, manufacturing agreement or sales contract may contain additional or different terms. In the event of a conflict concerning a particular transaction, the specifically agreed written commercial terms will control.

25. Governing Law

These Terms will be governed by the laws specified in the applicable commercial agreement between LIHONG and the customer.

If no governing law has been agreed for a particular commercial transaction, applicable governing law and jurisdiction will be determined in accordance with relevant conflict-of-law principles and applicable law.

26. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices or legal requirements.

Updated Terms will be posted on this website together with a revised “Last updated” date.

Continued use of the Services after an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
